Please read these Terms of Use ("Terms") carefully before using the MultiYAxis Excel Add-in (the "Add-in") or the multiyaxis.com website (the "Site"). By installing the Add-in or accessing the Site, you agree to be bound by these Terms.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User," "you") and MultiYAxis ("we," "us," "our"). Your continued use of the Add-in or Site after any modifications to these Terms will constitute your acknowledgment and acceptance of such modifications.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Free Tier: Install and use the MultiYAxis Add-in with the features available in the free version for personal or commercial purposes.
- Paid Licence: Upon purchase of a valid licence, install and use all paid features on the number of devices covered by your plan.
3. Restrictions
You agree not to:
- Copy, modify, distribute, sell, or sublicense the Add-in or any portion thereof.
- Reverse engineer, decompile, or disassemble the Add-in, except as permitted by law.
- Remove or alter any proprietary notices, labels, or marks on the Add-in.
- Use the Add-in for any unlawful purpose or in violation of any applicable laws or regulations.
- Share, transfer, or resell a licence to any third party.
- Use the Add-in to process data that infringes any third-party intellectual property rights.
4. Intellectual Property
The Add-in, the Site, and all related content — including but not limited to software code, design, text, graphics, and logos — are the exclusive property of MultiYAxis and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
5. Microsoft AppSource and Platform Terms
The Add-in is distributed through the Microsoft AppSource marketplace. Your use of Microsoft Excel and AppSource is subject to Microsoft's Terms of Service. MultiYAxis is an independent publisher and is not affiliated with, endorsed by, or sponsored by Microsoft Corporation.
6. Payment and Refunds
Licences are sold through Polar, our authorized payment processor. By completing a purchase, you agree to Polar's Terms of Service. We offer a 30-day money-back guarantee. Contact support@multiyaxis.com within 30 days of purchase with your order number to request a full refund.
7. Disclaimer of Warranties
THE ADD-IN AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MULTIYAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE ADD-IN OR SITE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR CURRENT LICENCE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Termination
We reserve the right to suspend or terminate your licence at any time, with or without notice, if we determine that you have violated these Terms. Upon termination, you must cease all use of the Add-in.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.
11. Changes to These Terms
We may update these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Your continued use of the Add-in or Site after such changes constitutes your acceptance of the revised Terms.
